Key points
- Xiaomi Technology’s wholly owned Hanxing plans a RMB1.7 billion cash investment.
- The 5.34% stake applies after the capital increase and does not establish control.
- The shareholder meeting is scheduled for November 19; implementation remains pending.
Reported details
Xiaomi’s battery-supply-chain investment plans have gained a disclosed agreement. Sunwoda says Hanxing Venture Capital, wholly owned by Xiaomi Technology, proposes to invest RMB1.7 billion in newly issued Sunwoda EVB shares for a 5.34% post-transaction stake. The agreement has been signed, but Sunwoda shareholder approval is still required: signing does not establish that the transaction has closed.
Sunwoda’s board approved the proposal on October 28; the announcement is dated October 30. This is a subscription for new capital in Sunwoda EVB, rather than a purchase of listed Sunwoda shares. Sunwoda Huizhou New Energy’s holding would fall from 24.06% to 22.78%.
Governance would also change. Sunwoda says that after the investment and Sunwoda EVB board election, its board seats would no longer exceed half. It would then lose control, and the battery company would become an associate outside its consolidated accounts. Those changes are conditional; Xiaomi’s proposed 5.34% holding does not automatically confer control.
The next dated milestone is the extraordinary shareholder meeting scheduled for 2:30 p.m. on November 19, 2026. Its agenda includes the capital increase, director candidates and deconsolidation. That date is not a confirmed date for payment or registration; voting results and implementation must be checked separately.
Editorial interpretation
Our reading is that the immediate news concerns ownership and governance, rather than a battery upgrade for a particular car. The investment alone cannot establish exclusive supply to a Xiaomi model or changes to range, charging speed or vehicle prices. Approval, funding and registration, followed by any specific product agreement, are the developments that would change that assessment.
